Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you (and any organization you sign up on behalf of) and Proposera, the operator of proposera.app. By creating an account or using the service, you agree to be bound by these Terms and by our Privacy Policy. If you don't agree, you may not use Proposera.

2. The service

Proposera is a hosted software platform that helps teams qualify RFPs, draft proposals with AI assistance, collaborate with teammates, and export deliverables. Features and limits vary by plan; see the Pricing page for the current tiers. We may add, change, or remove features over time at our discretion.

3. Accounts and access

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 16 years old to use Proposera. You agree to provide accurate information at sign-up and to keep your contact and billing details current. Each organization seat is intended for use by a single named individual.

4. Acceptable use

You agree not to use Proposera to:

• violate any law, regulation, or third-party right (including intellectual-property and privacy rights);
• upload or generate content that is unlawful, defamatory, harassing, fraudulent, or designed to deceive a reader about its source;
• attempt to gain unauthorized access to the service or to other users' accounts and data;
• probe, scan, or test the vulnerability of the service without prior written authorization (see our Security page for responsible disclosure);
• scrape, harvest, or reverse engineer the service or use automated means to extract data beyond the documented API surface;
• resell or repackage the service to third parties without our prior written consent.

5. Billing and subscriptions

Paid plans are billed monthly in advance through Stripe. By upgrading, you authorize us to charge your payment method on each billing cycle until you cancel. Plans renew automatically at the end of each period. Prices, plan limits, and credit costs are listed on the Pricing page and in the in-app billing settings; we may change them with at least 30 days' notice for active subscribers, and changes apply at the next renewal.

New accounts include a 14-day trial at Solo-tier limits. AI credits granted in a billing period expire at the end of that period and do not roll over. Extra credit-pack purchases are one-time and expire with the current period.

6. Refunds

Subscription fees are non-refundable except where required by law. You may cancel at any time from the billing settings; cancellation stops future renewals but the current period runs to its end. If you believe you were charged in error, contact us within 30 days and we will review in good faith.

7. Your content

You retain all rights in the proposals, RFPs, company-profile data, and other content you submit to Proposera ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, transmit, and process Your Content solely to provide the service to you and your organization. We do not use Your Content to train AI models or share it with any third party except the sub-processors described in our Privacy Policy.

8. AI-generated output

Proposera generates draft text, diagrams, and analysis using third-party AI models. AI output can be inaccurate, incomplete, or otherwise unsuitable for your purpose. You are responsible for reviewing every AI-generated artifact before relying on it or transmitting it externally. To the extent applicable law permits, you assume all rights and obligations in AI-generated output you choose to send to a customer or regulator.

9. Our intellectual property

Proposera, including the software, the user interface, the Proposera name and logo, and any other materials we provide, is owned by us or our licensors and protected by intellectual- property law. These Terms do not transfer any of those rights to you beyond the limited license to use the service.

10. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if your use creates legal exposure for us or other users, or if your account becomes inactive or unpaid. We will give you reasonable notice where practical. On termination, your right to use the service ends; we will retain Your Content per the retention policy in our Privacy Policy so you can request an export if needed.

11. Disclaimer of warranties

Proposera is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, in no event will Proposera be liable to you or your organization for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising under these Terms is limited to the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to defend and indemnify Proposera against any third-party claim arising from Your Content, your use of the service, or your breach of these Terms, including reasonable attorneys' fees.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of- law rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the product and reflected in the "Last updated" date above. Continued use of Proposera after the effective date constitutes acceptance of the updated Terms.
